1. About PB Online
PB Online provides website design, website setup, hosting, maintenance, content updates and related digital support services to small businesses.
These Terms apply whenever a customer purchases or subscribes to a PB Online service.
PB Online is operated by Padraic O'Toole, trading as PB Online in Ireland.

2. Business customers
PB Online services are intended primarily for business use. By purchasing a PB Online business package, you confirm that you are purchasing the service in connection with your trade, profession or business.
Nothing in these Terms limits any rights that cannot legally be excluded.
3. Your agreement with us
Your agreement consists of these Terms together with the package, quotation, proposal or Stripe checkout page through which you purchase the service.
The package selected will determine the services, setup fee and monthly subscription applicable to your account.
4. Website setup
PB Online will build and configure the website described in the selected package.
The customer agrees to provide reasonably requested information, images, logos, service descriptions, contact information and other material required to complete the website.
Delivery dates are estimates unless a specific deadline has been agreed in writing. Delays in receiving material, approvals or access from the customer may delay completion.
5. Customer content
The customer is responsible for ensuring that information supplied to PB Online is accurate and that they have permission to use any photographs, logos, text, trademarks or other material supplied.
PB Online may refuse to publish material that is unlawful, fraudulent, defamatory, infringing or otherwise inappropriate.
6. Setup fees
The website setup fee is charged when the customer signs up.
Once substantive work on the website has begun, the setup fee is normally non-refundable because it covers design work, configuration, administration and time reserved for the project.
If the project is cancelled before work begins, PB Online may refund the setup fee, less any non-refundable third-party costs already incurred.
7. Monthly subscription
Monthly website-management charges are billed in advance through Stripe.
The first monthly payment is normally collected when the customer signs up and subsequent payments are taken automatically on the applicable monthly billing date.
The monthly service may include hosting, maintenance, security updates, backups, support, content changes and other services specified in the customer's chosen package.
8. Content updates
Where a package includes a defined number of small website updates, a small update normally means a reasonable change to existing text, images, opening hours, contact details or similar content.
Creating new pages, major redesigns, new functionality, extensive copywriting, e-commerce features or other substantial work may fall outside the monthly package and may require a separate quotation.
Unused monthly updates do not automatically accumulate or roll over unless PB Online agrees otherwise.
9. Additional costs
Domain registration, premium software, paid integrations, advertising, specialist photography, third-party subscriptions or other external services are not included unless specifically stated.
PB Online will obtain the customer's agreement before incurring a material additional charge on their behalf.
10. Third-party services
PB Online may use third-party platforms and service providers for hosting, domains, email, payments, website functionality, analytics and other services.
Availability of these services can sometimes be outside PB Online's control.
Where reasonably possible, customers will be informed of any material change to a third-party service that affects their website.
11. Website ownership
The customer retains ownership of original material they provide to PB Online.
On payment of all outstanding amounts, the customer may use bespoke website content created specifically for their business.
PB Online retains ownership of its pre-existing templates, processes, systems, reusable components, know-how and other materials that were not created exclusively for the customer.
Third-party software, themes, fonts, plugins and services remain subject to their respective licence terms.
12. Domains and transfer
Where practical, domains should be registered in the customer's name or otherwise capable of being transferred to the customer.
If a customer leaves PB Online, we will provide reasonable assistance to transfer the website or domain where technically possible.
Work involved in substantial migration, redevelopment or transfer to another provider may be chargeable.
13. Search results and business performance
PB Online will make reasonable efforts to improve the customer's online presence.
However, we cannot guarantee particular Google rankings, visitor numbers, leads, enquiries, sales or revenue.
Search engines and third-party platforms control their own algorithms and services.
14. Security and availability
PB Online will take reasonable steps to maintain websites and protect them against common security risks.
No website, hosting service, backup system or internet service can be guaranteed to operate without interruption or be completely secure.
15. Late or failed payments
If a subscription payment fails, Stripe may attempt to collect the payment again.
PB Online may contact the customer to resolve the issue and may suspend hosting or ongoing services if an account remains unpaid after reasonable notice.
Outstanding amounts remain payable.
16. Cancellation
Customers may cancel their monthly PB Online subscription at any time.
Cancellation normally takes effect at the end of the current paid billing period. Monthly fees already paid are not normally refunded on a pro-rata basis unless required by law.

17. Termination by PB Online
PB Online may suspend or terminate service where a customer persistently fails to pay, seriously breaches these Terms, uses the service unlawfully or behaves in a way that makes continued provision of the service unreasonable.
Where practical, PB Online will provide reasonable notice and an opportunity to resolve the issue first.
18. Liability
PB Online will provide its services with reasonable care and skill.
To the fullest extent permitted by law, PB Online will not be responsible for indirect or consequential business losses arising from matters outside our reasonable control, including failures of third-party platforms, hosting providers, search engines or telecommunications services.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
19. Data protection
PB Online processes personal data in accordance with its Privacy Policy and applicable Irish and EU data-protection law.
Where PB Online processes personal information on behalf of a customer—for example information submitted through the customer's website—our Data Processing Addendum applies to that processing as part of the customer agreement.
20. Changes to the service or Terms
PB Online may update these Terms where reasonably necessary.
Existing customers will be given reasonable notice of material changes that affect their subscription.
21. Irish law
These Terms are governed by Irish law.
Any dispute that cannot first be resolved directly between PB Online and the customer will be subject to the jurisdiction of the Irish courts, subject to any mandatory legal rights that apply.
